Terms of Service
These Terms of Service govern access to and use of Emailble, a cloud-based email marketing, contact discovery, campaign creation, sending coordination, tracking, verification, AI and Contact Memory service provided by PriceCal Pte Ltd.
1. Agreement and Incorporation of Policies
By creating an account, accessing Emailble, using any Emailble feature, purchasing a subscription, topping up Wallet service credits, connecting any sending route, importing or discovering contacts, verifying email addresses, using AI features, scheduling or sending a campaign, or otherwise using the service, the customer agrees to these Terms of Service and to all policies, notices and product terms incorporated by reference.
The incorporated policies include, where applicable, the Privacy Policy, Acceptable Use Policy, Anti-Spam and Email Marketing Policy, Billing, Wallet and Refund Policy, Email Verification Terms, AI Services Terms, Brand, Trademark and Representation Policy, Security Overview, Responsible Disclosure Policy, Data Processing Addendum, Subprocessor Notice, Tracking Notice, Retention Policy and any checkout, plan, invoice, order form or written commercial terms accepted by the customer.
If there is any conflict between these Terms and a specific written order form signed or expressly accepted by PriceCal Pte Ltd, the specific order form controls only for the conflicting commercial item and only for the account, period and service expressly covered by that order form.
2. Service Provider and Contracting Entity
Emailble is a product of PriceCal Pte Ltd, UEN 202611989R, with business address at Blk 998 Toa Payoh North #01-09, Singapore 318993. References to “Emailble”, “we”, “us” or “our” mean PriceCal Pte Ltd in respect of the Emailble service.
The customer is the person or organisation that creates, controls, pays for, administers or uses an Emailble account or workspace. If a user accesses Emailble on behalf of an organisation, that user represents that he or she has authority to bind that organisation to these Terms.
3. Business Service and Account Use
Emailble is intended for business, commercial, professional and organisational use. It is not intended for unlawful bulk messaging, consumer deception, personal harassment, phishing, fraud, malware delivery, credential collection, evasion of email provider rules, or any activity that damages Emailble, customers, recipients, providers or the reputation of lawful senders.
The customer is responsible for all activity under its account, including activity by owners, administrators, employees, contractors, invited users, connected systems, API users and persons who obtain access through the customer’s credentials or devices.
The customer must maintain accurate account information, protect credentials, configure access rights carefully, promptly remove users who no longer require access, and notify Emailble if it suspects unauthorised access or compromise.
4. Beta and Early Access Nature
During beta, preview, early access or limited release periods, features, limits, pricing, user interfaces, integrations, provider availability, documentation, usage allowances, metering, security controls and operating procedures may change. PriceCal Pte Ltd may add, modify, restrict, suspend, rename, replace or discontinue beta features where reasonably required for product development, security, legal compliance, provider requirements, abuse prevention or service reliability.
Beta or early access availability does not create any obligation to maintain a feature indefinitely, to preserve a specific user interface, to continue a promotion, to support every provider, or to provide production-level service availability unless a separate written agreement expressly states otherwise.
Paid services remain subject to the plan, checkout, invoice, subscription, Wallet, metered-usage or written commercial terms accepted by the customer for the relevant period.
5. Customer Responsibility for Campaign Decisions
The customer is the campaign decision-maker. The customer decides which recipients are selected, what data source is used, what legal basis or permission applies, what message is sent, what offer is made, which sender identity and sending route is used, when the campaign is sent, which segment is targeted, whether a resend is appropriate, and whether any campaign should proceed.
Emailble provides software tools, workflow controls, AI assistance, verification signals, tracking events, Contact Memory and operational safeguards. Those tools do not transfer legal responsibility for the customer’s campaign decisions to PriceCal Pte Ltd.
Before sending, the customer must review the selected recipients, message content, sender identity, subject line, links, unsubscribe handling, route selection, suppression treatment, timing, compliance warnings and any AI-generated or imported material.
7. Required Customer Confirmations
Emailble may require legal confirmations before contact import, contact discovery, verification, campaign sending, sender-route connection, AI generation, resend, export or other sensitive actions. These confirmations are material representations by the customer.
For contact import, connection, discovery or processing, Emailble may require the customer to confirm: “I confirm that I have the lawful right to upload, connect, discover and process these contacts using Emailble.”
For campaign sending, Emailble may require the customer to confirm: “I confirm that I have the legal right to contact the selected recipients and that this campaign complies with applicable privacy, marketing and anti-spam laws.”
For campaign sender identity and representation, Emailble may require the customer to confirm: “I confirm that this campaign clearly identifies my business as the sender and does not impersonate Emailble, PriceCal Pte Ltd, Emailble support, Emailble billing or any official Emailble representative.”
8. Sender Routes, Rotation, Resend and Provider Rules
Emailble may allow the customer to connect multiple sending providers, SMTP routes, API routes or other delivery services and to configure route-specific limits, pacing, waiting periods, throttling or sender rotation. The customer remains responsible for each connected provider account and for compliance with that provider’s terms, limits, authentication requirements and acceptable-use rules.
Sender rotation, alternate sender selection, route fallback and resend features must not be used to bypass unsubscribe requests, suppression lists, hard-bounce rules, provider enforcement, complaint handling, mailbox-provider controls, legal restrictions, recipient objections or account suspensions.
Unsubscribed, suppressed, blocked, hard-bounced or legally ineligible recipients are not normal resend candidates. “Open not detected” is not a failure state and must not be treated as proof that a recipient did not read a message, that delivery failed, or that the recipient may be contacted through another route without normal compliance checks.
9. Tracking, Contact Memory and Recipient Events
Emailble may record campaign events such as send attempts, accepted-for-delivery status, provider response, route used, timestamp, bounce, failure, unsubscribe, suppression, open detection, click detection, resend history and other Contact Memory records where available.
Tracking technology may be affected by recipient software, mailbox provider filtering, privacy protection, image blocking, link scanning, forwarding, security systems and network conditions. Tracking records are operational indicators, not absolute proof of recipient behaviour.
The customer is responsible for ensuring that its use of tracking, analytics and Contact Memory complies with applicable notices, consent requirements and lawful-basis requirements in the jurisdictions where its recipients are located.
10. AI-Assisted Features
Emailble may provide AI-assisted drafting, rewriting, translation, campaign planning, subject-line generation, segmentation suggestions, tone adjustments, summarisation, analysis or other AI features. AI output may be inaccurate, incomplete, misleading, unsuitable, infringing, non-unique, outdated or inappropriate.
The customer must review, edit and approve all AI output before relying on it, publishing it, sending it or using it in a campaign. AI output does not constitute legal, financial, medical, compliance, tax, marketing-performance or professional advice.
The customer must not use AI features to generate phishing content, fake invoices, fake login pages, unlawful claims, deceptive offers, impersonation, malware, harassment, hate, unlawful content, brand abuse, provider evasion, or content that violates these Terms or the Acceptable Use Policy.
11. Email Verification
Email verification is a technical service that may use third-party email verification technology. Verification results may include categories such as valid, invalid, unknown, risky, disposable, catch-all, role-based or equivalent technical classifications.
Verification does not create consent, does not prove recipient identity, does not guarantee delivery, does not guarantee inbox placement, does not guarantee future validity, and does not confirm that a recipient may lawfully be contacted.
The customer must have the lawful right to submit addresses for verification and remains responsible for deciding whether a recipient may be contacted after verification.
12. Subscriptions, Wallet and Paid Services
Emailble may include free plans, paid subscription plans, promotional credits, plan-included credits, purchased service credits, metered services, usage-based charges, add-ons, verification charges, AI charges and other paid service elements.
Plan limits, prices and allowances are those displayed in the applicable checkout, plan page, account screen, invoice, order form or written commercial terms at the time accepted by the customer, subject to lawful changes, renewal terms and any applicable notice requirements.
Emailble Wallet service credits are closed-loop service credits for eligible Emailble services only. They are not cash, not a deposit account, not an e-money product, not interest-bearing, not transferable except where expressly permitted by PriceCal Pte Ltd, and not redeemable for cash except where required by law or expressly approved as a correction or refund.
13. Third-Party Services and Customer-Selected Providers
Emailble may rely on third-party providers for hosting, infrastructure, databases, edge services, security, payment processing, AI, email verification, analytics, support, authentication, monitoring and other operational functions. The customer may also connect customer-selected email sending providers and other third-party services.
PriceCal Pte Ltd is not responsible for the acts, omissions, pricing, downtime, security incidents, policy changes, account suspensions, rate limits, deliverability outcomes, provider decisions, mailbox-provider filtering or service restrictions of third-party providers except to the extent required by applicable law or expressly agreed in writing.
The customer is responsible for maintaining its own third-party accounts, permissions, billing arrangements, credentials, API keys, sender domains, DNS settings, provider compliance and provider-specific approvals.
14. Availability, Maintenance and Changes
Emailble may be unavailable or degraded because of maintenance, updates, deployment, infrastructure incidents, third-party outages, security events, provider failures, abuse prevention, force majeure, legal restrictions or other operational reasons.
Unless a separate written service-level agreement expressly applies, Emailble is provided without a production service-level commitment. PriceCal Pte Ltd may modify, suspend, replace or discontinue features where reasonably necessary for security, compliance, provider compatibility, abuse prevention, product development or operational integrity.
15. Customer Content and Intellectual Property
The customer is responsible for all campaign content, uploads, images, text, subject lines, templates, links, offers, claims, trademarks, copyrighted materials, files, data, instructions and AI-assisted content submitted to or used through Emailble.
The customer represents that it has all rights, licences, permissions and legal authority required to use, upload, process, modify, display, send and store customer content through Emailble.
PriceCal Pte Ltd retains all rights in Emailble, including software, workflows, designs, interfaces, documentation, know-how, trade names, trademarks, logos, service marks, product names, source code, object code, algorithms, databases, business logic and system architecture. No rights are granted except the limited right to use Emailble according to these Terms during the applicable service period.
16. Brand, Logo and Representation Protection
The customer must not use the Emailble name, logo, favicon, icon, screenshots, website design, product interface, system emails, legal notices, trust materials, support identity, billing identity, domains or brand assets to mislead, impersonate, pressure, deceive, phish, defraud or falsely suggest approval, partnership, certification, authority or endorsement.
The customer must not present itself as Emailble, PriceCal Pte Ltd, Emailble support, Emailble billing, Emailble security, Emailble legal, an employee, an agent, a certified consultant, an authorised reseller, a partner or an official representative unless PriceCal Pte Ltd has expressly approved that status in writing.
Brand abuse, fake Emailble communications, false reseller claims, fake billing notices, fake login pages, misleading support messages and unauthorised official-looking materials are serious enforcement events and may result in immediate suspension or termination.
17. Security, Access and Credentials
The customer must use Emailble in a manner that protects accounts, credentials, connected providers, recipient data, API keys, sender domains, payment records and campaign data. The customer must not share passwords, expose API keys, bypass access controls, test vulnerabilities without authorisation, interfere with service operations or attempt to access data outside its workspace.
PriceCal Pte Ltd may suspend or restrict accounts, routes, campaigns, API access, exports, imports or sensitive actions where it reasonably believes there is a security compromise, suspicious activity, credential leakage, unauthorised access, malware, phishing, abuse, provider risk, legal risk or operational threat.
18. Suspension, Termination and Protective Action
PriceCal Pte Ltd may warn, throttle, pause, restrict, suspend, disable, remove, quarantine, terminate or refuse service where it reasonably believes that an account, campaign, contact source, sender route, content item, integration, API key, AI request, verification job or user activity may violate these Terms, law, provider rules, recipient rights, platform safety, infrastructure security or Emailble’s reputation.
Immediate action may be taken for phishing, fraud, malware, impersonation, fake invoices, fake login pages, unlawful marketing, spam, suppression bypass, brand abuse, provider evasion, sanctions evasion, security attacks, credential compromise, stolen data, unlawful contact lists, harassment, severe complaint patterns, high bounce patterns or conduct that may expose Emailble, its users, providers or recipients to legal, security or reputational harm.
Suspension or restriction does not waive the customer’s obligation to pay valid charges incurred before suspension, including completed usage, completed verification, AI usage, sent campaigns, subscription charges and other billable services, subject to mandatory legal rights and confirmed billing errors.
19. Records and Evidence
Emailble may retain records necessary to operate the service, prove acceptance, administer billing, investigate abuse, respond to disputes, comply with law and protect Emailble. Such records may include account identifiers, workspace identifiers, policy versions, accepted terms, timestamps, IP address where lawful, user agent, checkout references, Wallet ledger entries, contact import confirmations, campaign send confirmations, verification job records, AI usage records, provider responses, unsubscribe events, suppression records, bounce records and security logs.
These records may be used to investigate complaints, enforce policies, respond to chargebacks, defend legal claims, support audits, handle provider requests and demonstrate customer instructions or confirmations.
20. Warranties by Customer
The customer represents and warrants that it has authority to enter into these Terms, that its account information is accurate, that it has lawful rights to all contact data and customer content used with Emailble, that its campaigns comply with applicable laws, that it will not use Emailble for prohibited purposes, and that it will comply with all provider rules applicable to its connected sending routes and third-party services.
The customer further represents that it will not use Emailble to impersonate Emailble, PriceCal Pte Ltd, any provider, any recipient, any public authority or any third party, and that it will not use sender rotation, AI, verification, tracking or Contact Memory to evade legal obligations or recipient choices.
21. Disclaimers
Emailble is provided on an “as is” and “as available” basis to the maximum extent permitted by law. PriceCal Pte Ltd does not warrant that Emailble will be uninterrupted, error-free, secure against all threats, compatible with every provider, free of data loss, free of delays, or capable of producing any particular business, marketing, legal, deliverability or financial result.
PriceCal Pte Ltd does not guarantee delivery, inbox placement, open rate, click rate, response rate, conversion rate, revenue, sales, leads, reputation improvement, verification accuracy, AI output quality, provider acceptance, mailbox-provider treatment or campaign performance.
22. Indemnity
To the maximum extent permitted by law, the customer shall indemnify, defend and hold harmless PriceCal Pte Ltd, its officers, employees, contractors, suppliers and affiliates from and against claims, losses, damages, penalties, fines, costs, expenses and reasonable legal fees arising from or related to the customer’s campaigns, contact sources, unlawful marketing, unlawful data processing, customer content, AI-assisted content, intellectual-property infringement, privacy violations, anti-spam violations, provider-term violations, sender-route misuse, suppression bypass, brand abuse, impersonation, fraud, security misuse, chargeback abuse, breach of these Terms or instructions given by the customer to Emailble.
This indemnity does not apply to the extent a claim is finally determined to have been caused by PriceCal Pte Ltd’s own non-excludable unlawful conduct, fraud or liability that cannot lawfully be excluded or limited.
23. Limitation of Liability
To the maximum extent permitted by applicable law, PriceCal Pte Ltd shall not be liable for indirect, incidental, special, consequential, exemplary or punitive losses, or for loss of profits, revenue, goodwill, data, business opportunity, anticipated savings, reputation, marketing performance, sender reputation, provider account standing, customer relationships or campaign outcome.
Subject to mandatory rights and liabilities that cannot lawfully be excluded or limited, PriceCal Pte Ltd’s aggregate liability arising out of or relating to Emailble shall not exceed the fees paid by the customer for Emailble during the 12 months immediately preceding the event giving rise to the claim. If no fees were paid, the aggregate liability cap shall be SGD 100.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is not permitted by applicable law, including liability that cannot be excluded for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or other non-excludable statutory rights.
24. Governing Law, Jurisdiction and Language
These Terms are governed by the laws of Singapore. Subject to any mandatory rights that cannot lawfully be excluded, the courts of Singapore shall have jurisdiction over disputes arising out of or relating to Emailble, these Terms or incorporated policies.
The English version of these Terms controls over any translation. Translations may be provided for convenience only and must not be treated as altering the English legal meaning unless expressly stated otherwise in writing by PriceCal Pte Ltd.
25. Changes to Terms
PriceCal Pte Ltd may update these Terms and incorporated policies from time to time. Updated terms may take effect upon posting, account notice, checkout acceptance, renewal, continued use or another effective date stated in the update, subject to applicable law.
Where a change materially affects paid services, PriceCal Pte Ltd will use reasonable efforts to give notice appropriate to the nature of the change. Continued use after the effective date constitutes acceptance of the updated terms to the maximum extent permitted by law.
